Michał Mieciński is an attorney-at-law and partner in the Real Estate and Construction Department at CMS Poland. He has extensive experience advising international and local investors, funds, and developers on complex real estate transactions across Poland and the CEE region. His expertise covers acquisitions and disposals of buildings, commercial properties, and hotels and logistic assets. 

He has deep expertise in various real estate transaction structures, including real estate M&A, joint ventures, portfolio transactions, sale and leaseback, forward sale/purchase deals, corporate and organisational restructurings, as well as real estate financing and refinancing.

Michał has, in particular, a strong track record in the hospitality sector, advising all key players, including investors, hotel operators, developers, and lenders. He supports clients in structuring and negotiating hotel acquisitions and disposals, hotel management and lease agreements, as well as financing and refinancing transactions in the sector.

Beyond real estate, Michał has broad experience in corporate law, M&A, and private equity. He has advised clients in the banking, insurance, consumer goods, automotive, healthcare, food, and media sectors on transactions throughout the CEE region.

Before joining CMS in 2021, Michał was with the Warsaw office of Linklaters from its establishment in Poland.

Relevant experience

  • Union Investment Real Estate GmbH on the sale of Magnolia Park, a major shopping centre in Wrocław, Poland, to NEPI Rockcastle, for EUR 373m.
  • Invesco Real Estate on the acquisition of the new Cloud One Gdańsk hotel from Granaria Development Gdańsk, a joint venture between Immobel and Multibud.
  • BIG Poland on successfully expanding its Polish portfolio with the acquisition of several retail parks in Poland, including Power Park in Olsztyn, Park Kujawia in Włocławek, Atut in Myszków, Park Glinianki in Łubna, and Cuprum Park in Lubin.
  • Xior Student Housing NV on its first PRS investment in Poland, the acquisition of a fully leased PRS development located in Warsaw.
  • Xior Student Housing NV on a construction project for a student residence building in Warsaw. Xior created a joint venture company with Solida Capital to carry out its first flagship project in the Polish capital, in the Old Town near the Warsaw Campus.
  • Cromwell European REIT (CEREIT) on the sale of Grójecka 5, an office building in Central Warsaw.
  • Cornerstone Partners on a joint venture agreement with Crestyl, a leading Czech developer on the multi-functional property market, to acquire Budimex Nieruchomości, one of the largest developers in Poland in the housing sector. The transaction, worth over PLN 1.5 bn, was the largest on the CEE property market since the COVID-19 pandemic.
  • UBM Development on multiple high-profile hotel transactions across Poland, including the forward sales of Mercure Katowice and Ibis Styles Cracow, the development and forward sale of Holiday Inn Gdańsk (Granary Island) under a public-private partnership, the sale of Holiday Inn Warsaw City Centre, and the sale of the Radisson Wrocław to Union Investment funds, as well as the development, joint venture buy-out, and subsequent sale of the InterContinental Hotel in Warsaw to DEKA.
  • Globalworth on the EUR 190m acquisition of two landmark office buildings, Skylight and Lumen, from the Złote Tarasy complex in Warsaw from Unibail-Rodamco-Westfield.
  • Echo Investment on the sale of office buildings in Warsaw.
