The stock listed private equity investment company Mutares SE & Co. KGaA has signed an agreement to acquire the Danish, Polish and Serbian business activities of the Arriva Group. The Polish business activities are in the bus transport sector. The Arriva Group is part of Deutsche Bahn AG. The transaction is expected to be completed by the end of 2022, subject in particular to approval by the local authorities under anti-trust law and the approval of the Supervisory Board of Deutsche Bahn AG and the Federal Ministry of Digital Affairs and Transport. The parties involved have agreed not to disclose the details of the transaction.
An international CMS team led by Lead Partner Dr Michael Wangemann again provided comprehensive legal advice to Mutares on the transaction. Mutares SE & Co. KGaA is a long-standing client and regularly relies on the expertise of CMS.
Arriva Denmark, in contrast to all other business units which focus on urban, regional and commercial bus services, also offers transport services by rail and water. In addition, Arriva Denmark also operates car sharing services under the SHARE NOW franchise. In the course of the acquisition, Mutares plans to increase operational efficiency as well as to contribute its own expertise in tendering for public contracts. This is intended to further expand Arriva's leading position in the respective markets. With around 3,400 employees in these three countries, the Arriva Group generates an annual turnover of around 400 million euros.
