CMS advises construction industry supplier Roto Frank on acquisition of Chinese fittings supplier Union
Stuttgart – Roto Frank AG is continuing to expand its window and door technology division by acquiring Union Ltd., a Chinese manufacturer of components and semi-finished parts for window and door hardware. The new Chinese subsidiary with around 450 employees will continue to operate as an independent business in the future and will not be integrated into the Roto Frank Group. The transaction is scheduled to complete within the next three months. The purchase price was not disclosed.
An international team headed by CMS partners Dr Ulrike Glück and Dr Tobias Schneider advised Roto Frank on all legal aspects of the acquisition. This is the first time that CMS has been instructed on an M&A matter by the international construction supplier. CMS drew on the local expertise of law firms Tanner De Witt Solicitors, Hong Kong, and Formosa Transnational Attorneys At Law, Taiwan, in handling the transaction.
Roto Frank AG, which is based in Leinfelden-Echterdingen near Stuttgart, is a manufacturer of hardware systems and components for the construction industry. The company currently operates 17 manufacturing facilities on four continents. In 2016, the Roto Group generated sales of around EUR 620 million and had some 4,500 employees.
