Konstantin Altandzhiyski is a senior associate in the Banking & Finance practice in CMS Sofia. He is a Bulgarian attorney with more than 10 years’ legal experience in the field. Prior to joining CMS Sofia, Konstantin was employed as an in-house lawyer in two of the largest Bulgarian banks and his background includes more than 5 years in a reputable international law firm in Bulgaria, where he gained experience on various banking and financing transactions, banking regulatory matters, capital markets, debt restructuring and litigation. 

His working experience includes also a 2 years’ period as legal adviser in the European Investment Bank in Luxembourg, with primary focus on the Bulgarian market, and in-charge role in financing operations in jurisdictions within Central and East Europe. Konstantin focuses on various types of finance, capital markets, banking regulatory matters, debt restructuring, financial services and products and related litigation issues.

Relevant experience

  • Advising a Bulgarian bank in a EUR 23 million synthetic securitization transaction with the European Investment Bank and the European Investment Fund.
  • Advising a Bulgarian bank in the transfer of a shopping center corporate NPL.
  • Advising the European Investment Bank in a EUR 50 million financing to a Bulgarian company engaged in the storage, handling and export of grain cereals, oilseeds, vegetable oils and oil seed meals.
  • Advising a Bulgarian bank from commercial and regulatory perspective in relation to issuance of an Additional Tier 1 instrument under the CRR, intended to replace an existing debt instrument of the bank.
  • Advising a syndicate of Bulgarian and EU lenders on the provision of a EUR 130 million financing to a local major Bulgarian producer of lead and zinc.
  • Advising a syndicate of Bulgarian and EU lenders on the provision of a EUR 300 million financing to an airport operator for the concession of the Sofia Airport.
  • Advising US, EU and international creditors in establishing Bulgarian law security packages provided by local corporates as security of their underlying debts.

Konstantin Altandzhiyski advises clients on а broad range of corporate law matters, with a particular focus on M&A deals, corporate governance, and capital markets.

He has experience in advising clients on mergers and acquisitions across industries and has advised on both sell-side and buy-side, having particular experience in relation to real estate and energy mandates
 

Relevant experience

  • Advising a large French bank from commercial and regulatory perspective in relation to the acquisition of its Bulgarian personal finance branch business by a local Bulgarian bank.
  • Advising US investors on the acquisition of local Bulgarian companies and development of PV projects located in Bulgaria and in parallel on the financing of the projects by a Bulgarian bank.
  • Advising US investors on the setting up of holding structure in Bulgaria and subsequent acquisition of businesses engaged in PV projects across Bulgaria.

Konstantin Altandzhiyski also has a particular focus on litigation, enforcement, and insolvency matters, having gained experience in the field representing Bulgarian banks before civil and commercial courts, in relation to legal disputes, out-of-court settlements, preliminary injunction court proceedings and post-judgment enforcements, as well as in relation to insolvency proceedings. He also advises and represents international clients on local law implications and recognition/enforcement of judgements.

Relevant experience

  • Representing a Bulgarian bank in legal disputes brought to court by bank’s corporate clients related to existence of claims under numerous financing agreements and their related security interests.
  • Representing a Bulgarian bank as a creditor in enforcement proceedings and insolvency proceedings opened against corporate clients of the bank.
  • Representing a Bulgarian bank as interested third party in legal disputes related to insurance claims between the insurance provider and bank’s corporate clients.
