CMS advises Hypax on the acquisition of 3A Composites Mobility from Schweiter Technologies

Hypax has acquired 3A Composites Mobility AG (Switzerland) and 3A Composites Mobility SA (Poland) (together “3AC Mobility”) from Schweiter Technologies AG (SWTQ:SWX), in a carve-out transaction.

3AC Mobility is a leading European supplier of high-performance lightweight composite components for the rail, road, and defence industries. The business operates two distinct production and engineering centres in Altenrhein, Switzerland, and Mielec, Poland. Together, they provide a unique one-stop shop for modular lightweight systems across both 2D and 3D applications, such as sandwich floors, front-ends, cockpits, structural panels and shelters. With a legacy of over 70 years in Swiss precision manufacturing, 3AC Mobility serves renowned OEMs across Europe and has recently expanded into high-growth defence applications. The business has strong innovation and engineering capabilities, and a well-diversified customer base, including long-term relationships with key rail and bus manufacturers.

Hypax is a Berlin and London-based investment firm specialising in the acquisition of corporate carve-outs and lower mid-market businesses where value can be created through growth and operational improvement. Funds managed by Hypax have capital commitments of EUR 120m for corporate transactions. With a strong operational track record, Hypax enables companies and their management teams to overcome transitional challenges and master transformational change.

An international team of CMS led by Partner Daniel Jenny and Senior Associate Florian Jung has advised the buyer on this transaction. The team also included Andrea Relly (Counsel), Samuel Gang (Senior Associate), Raphael Hammer (Trainee) and Celine Keller (Trainee, all Corporate/M&A) in Switzerland as well as Partner Slawomir Czerwinski and Associate Dominika Pietkun in Poland.
