CMS has advised Komerční banka, a.s. on the acquisition financing provided to support MidEuropa's acquisition of ÚRS CZ, Callida and First Information Systems from the DEK Group, marking one of the most significant technology transactions in the Czech market this year.

The acquired companies provide software and data solutions for construction cost estimation, budgeting and project management. Built around the well-established ÚRS construction pricing database, their products are widely used by contractors, developers, quantity surveyors and public sector institutions across the Czech Republic and Slovakia. The transaction further strengthens MidEuropa's position in the technology sector and supports its strategy of building a leading regional software platform.

CMS acted as legal counsel to Komerční banka in connection with all aspects of the financing.

Commenting on the transaction, CMS Partner Petra Myšáková said: "We are honoured to have advised Komerční banka on this transaction. The acquisition underscores the enduring appeal of software and data-driven businesses and reflects robust investor confidence in market-leading technology platforms poised for significant growth. It has been a privilege to work alongside all parties involved, and we look forward to building on this successful collaboration."

The CMS team was led by Petra Myšáková and included Lucia Luptáková, Vladimír Zemaník and Michal Václavík, who advised on the Czech law aspects of the transaction. The cross-border team included Ana Radnev (English law); Zuzana Nikodémová (Slovak law); and Vivian Walry, Rossana Tsenova and Zornitsa Dimitrova (Luxembourg law).
