Hamburg – Wind energy company Nordex has signed a share purchase agreement to acquire a wind power project in San Marcos de Colón in Honduras with French TotalEren S.A. The wind capacity of the project amounts to 114 MW.
CMS Germany advised Nordex with a team led by Lead Partner Dr. Eckart Gottschalk on all legal aspects of the sale. The advice included in particular the structuring of the transaction as well as the drafting and negotiation of the transaction documentation which was subject to Honduran law. CMS Germany relied on Arias for advice on Honduran law; Locke Lord provided support on US law issues. The sale is expected to be closed once certain outstanding conditions have been met. CMS had already advised Nordex on the sale of its European wind project development portfolio in 2020.
