CMS Hasche Sigle advised Georg von Holtzbrinck on the restructuring of its shareholding in PIN
Group AG (Luxembourg). Axel Springer AG will assume the majority in PIN Group AG.
Corresponding agreements have been signed with the co-shareholders of PIN Group AG, Georg von
Holtzbrinck, WAZ Mediengruppe and Rosalia AG, which were also founder-shareholders of the joint
venture.
By virtue of these transactions Axel Springer AG's share in PIN Group AG has increased from the
present 23.5 % to initially 71.6 %. Axel Springer paid a purchase price of EUR 510 million to
acquire the shares. Verlagsgruppe Georg von Holtzbrinck still has a 5 % interest in PIN Group AG.
However Axel Springer's share in PIN Group AG will fall to around 63.7 % by September 2007 as a
result of various increases in share capital. The transaction is subject to clearance by the
Federal Cartel Office.
