CMS Hasche Sigle advises Land Baden-Württemberg on the Europe-wide invitation for tenders for the marketing of its real property

The Europe-wide invitation for tenders by the Land Baden-Württemberg for the marketing of its real property portfolio was handled by CMS Hasche Sigle and has now been brought to a successful conclusion. A consortium consisting of Sireo Real Estate GmbH and the Landesbank Baden-Württemberg has been awarded the contract to analyse the real property portfolio of Baden-Württemberg with regard to its marketing and development potential and to provide marketing services.

The portfolio consists of up to 6,000 properties with a value of EUR 20 billion. Depending on the results of the analysis the individual properties could be sold, placed in a development company, sold under a sale-and-lease-back arrangement or be retained by the Land Baden-Württemberg. The procedure is to take place in stages. Proceeds of EUR 300 million are anticipated by the end of 2006. To manage the project the Land Baden-Württemberg has formed a regional property company as a limited liability company (GmbH). This will be a vehicle through which the consortium will present and discuss its proposals and ideas with the Land as principal.

The project was handled by a team of lawyers from the Stuttgart office of CMS Hasche Sigle consisting of Dr Volkmar Wagner (procurement), Thomas Hoene (contract law) and Dr Jochen Lamb (corporate), and associates Dr Ursula Steinkemper and Stefan Bauer (both procurement). The team provided advice throughout preparation and implementation of the entire tender procedure, from the preparatory and structuring phases including structuring of the project company which the Land established with the private contractor, drafting of the tender documents and the negotiations with bidders.
