Trading Places NV, a Belgian property holding in which the Scottish Kenmore group has a stake, has
acquired the real estate and the business operation of the designer outlet centre in Zweibrücken by
way of an asset deal. The purchase price was approx. EUR 50 million.
Led by partners Dr Hermann Stapenhorst (Real Estate) and Dr Thomas Meyding together with Dr
Claus-Peter Fabian (both corporate) a team from CMS Hasche Sigle advised the vendor of the designer
outlet centre, Zweibrücken Outlet Village GmbH & Co. KG, on the sale to Zweibrücken Factory
Outlet NV. At the same time the former majority shareholder of the vendor, Outlet Centres
International GmbH, in which the US-American investment bank Lehman Brothers has a direct stake,
was advised on the acquisition of the shareholdings of the minority shareholder.
The designer outlet centre in Zweibrücken with 11,000m² of sales area, over 55 designer
brands and 1.25 million visitors on average per year is the largest designer outlet centre in
Germany. The management and employee structures hitherto directed by the operating company, Outlet
Centres International with its domicile in London, will not be affected by the change of owner.
