CMS Hasche Sigle advises Schuler on the merger with Müller Weingarten

Schuler AG is to take over Müller Weingarten AG and merge the two companies. Subject to legal implementability the new company will be called Schuler Weingarten AG and have its domicile in Göppingen.

In the first step Schuler AG acquired 64.49 % of the shares in Müller Weingarten AG from Metzler Beteiligungsgesellschaft mbH in Frankfurt by way of agreement of 27.03.2007. The complete takeover is planned to take place before the end of the year. For this purpose Schuler AG will soon put a takeover bid to the shareholders of Müller Weingarten AG.

The new company Schuler Weingarten AG will be the leading provider of shaping technology for metalworking worldwide with a market share of approx. 35 %. The new Schuler Weingarten AG as technology and world market leader will be represented in over 20 countries, generate a turnover of over EUR 900 million and have global market coverage in distribution, production and service. Merger control law has allowed the transaction.

The merger will now allow Schuler Weingarten AG to use new growth opportunities. Growth drivers are innovative products which result from the clearly increased engineering potential, the improved presence in growth markets - particularly in Asia and Eastern Europe - and the extension of the successful service business.
