CMS Hasche Sigle advises Steadfast Capital on purchase of majority stake in proFagus

Frankfurt/Main – Steadfast Capital, together with proFagus management, acquired a majority stake in the proFagus Group in May 2010. Some of the individual private investors who sold the company also remain committed to proFagus via reinvestment.

A team from CMS Hasche Sigle led by Dr Joachim Dietrich advised Steadfast Capital on all aspects of the transaction.

The financing of the transaction was supported by DZ Bank AG, NIBC Bank N.V. and the Commerzbank Group (factoring). The purchase price was not disclosed.

The proFagus Group is Germany's leading manufacturer of high-quality beech charcoal and briquettes as well as related BBQ products such as eco-lighters for grills and fireplaces. In addition, proFagus refines by-products from the production process (such as acetic acid and smoke flavourings) and markets them to the food and pharmaceutical industries.

Steadfast Capital is a private equity business focusing on medium-sized businesses in the German-speaking countries of Europe and in the Benelux countries. Steadfast Capital invests in non-public companies, providing financial solutions for succession issues and spin-offs from larger groups and also provides capital for growth opportunities. An investment by Steadfast Capital also invariably comprises an element of management participation in the equity of the business.
