CMS BFL acts as advisor to Générale de Santé on the sale of Hôpital Privé Saint-Martin in Pessac to Médi-Partenaires

05/09/2012

CMS Bureau Francis Lefebvre advised Générale de Santé on the sale of its subsidiary Compagnie Générale de Santé’s controlling interest in Hôpital Privé Saint-Martin to Santé Partenaires, a subsidiary of Médi-Partenaires. Hôpital Privé Saint-Martin operates a health care facility of the same name in Pessac, a community located in the southern Bordeaux metropolitan area.

The hospital offers comprehensive health services, with a total capacity of more than 300 overnight and day care beds.

The divestment is part of a portfolio reorganisation plan conducted by Générale de Santé in its drive to develop a health care offer with a deep regional presence.

Générale de Santé is the largest private operator of health care facilities in France, with reported 2011 revenue of close to €2 billion. It owns 104 establishments that treat one million patients a year. Générale de Santé shares trade on the NYSE Euronext Paris market.

Médi-Partenaires owns 34 health care facilities that treat more than 550,000 patients a year. The Group reported 2011 revenue of €506 million.

Hôpital Privé Saint-Martin in Pessac corresponds to Médi-Partenaires’ careful, selective strategy of acquiring facilities with high quality medical teams, staff and technical support. This acquisition strengthens Médi-Partenaires' longstanding presence in the Aquitaine region, and the Bordeaux metropolitan area in particular, giving the Group a third facility alongside Polyclinique Jean Villar in Bruges and Clinique Saint Augustin in Bordeaux.

Générale de Santé was advised on this transaction by CMS Bureau Francis Lefebvre, with Arnaud Hugot, Alexandre Morel, Virginie Corbet-Picard, Solenne Gilles and Nina Chevrier providing advice on corporate matters. Financial advice was provided by Marc Vincent, Pierre Foucry and Andrea Gasparini of Mediobanca.

Médi-Partenaires was advised by Gatienne Brault & Associés, with Véronique Furnal and Maxime Brotz providing advice on corporate matters. Vincent Delmas and Bertrand Chaboussou from KPMG Transaction Services provided advice on due diligence matters, while Monique Branquart-Chastanier from Branquart-Chastanier provided advice on medical law matters.
