CMS Bureau Francis Lefebvre, adviser to transferors and management as for the transfer of Tourexcel Company to LBO France

Tourexcel is a tourism operator in France whose activity encompasses four poles:

• Sightseeing trips by coach and minibus (Cityrama, ParisVision, Paris City First, Paris Vision Plus): 60% of turnover.
• Regular touring lines by open-coach in Paris, Nice, Marseille and Lyon ('Open Tour' and 'Grand Tour': 21% of turnover.
• River tourism (cruise-lunches, galas, seminars, events on the Seine): 5% of turnover.
• Other tourist products and services (tickets and tailored services): 14% of turnover.

Created in 1985, LBO France is one of the first private equity funds established in France. As an independent company, its main activity is directed to leverage buy-out operations.

As for this deal, CMS Bureau Francis Lefebvre acted for transferors as management within the scope of their reinvestment in the acquisition structure. Transferors were counselled by Philippe Rosenpick , partner, Arnaud Hugot and Annabelle Elineau, lawyers ; Managers by Philippe Rosenpick, Isabelle Buffard-Bastide, partners and Arnaud Hugot, lawyer, from Corporate-M&A Department.
