CMS Bureau Francis Lefebvre advises the founders of PCB Création on its transfer to family holding company Ariane


PCB Création, a company which specialises in designing and making high quality pastry decorations, has been transferred in its entirety by its founders to Ariane, a holding company of the Torck family, who founded the Camaïeu prêt-à-porter chain.
Created in 1992 by its directors, Nathalie and Pierre Bach, PCB Création has a 3000m2 factory at Benfeld in the Alsace region. The company has over 100 employees and achieved 2009 turnover of €17m.

A pastry chef by training, Pierre Bach is behind the automation and industrialisation of creative food decorations (sugar decorations, decorative sheets, colourings, sprays, kits for chocolate creations etc) intended for everyone working in the world of pastry (shop pastry chefs and chocolate makers, restaurateurs, and large-scale manufacturers).

With regard to this transaction, PCB Création's founders were advised on legal and tax issues by CMS Bureau Francis Lefebvre, through Jean-Robert Bousquet, partner, and Caroline Vadet, associate, of the Corporate department, and Laurent Hepp, partner, in relation to tax law. Their financial advisers were UBS bank's Wealth Management Corporate Advisory Group (Fabrice Scheer, Francisco Diez and Karine Boulogne-Houtmann).
The purchaser was advised by the firm of Aramis, through Alexis Chahid-Nourai (Corporate) and Benoît Greteau (tax law).
