CMS Bureau Francis Lefebvre Lyon advises Edify on the takeover of Thermocompact

CMS Bureau Francis Lefebvre Lyon is advising Edify, an industrial holding company listed on the Euro-MTF market of the Luxembourg Stock Exchange, on the takeover of Thermocompact.

Based in Metz-Tessy (Haute-Savoie), Thermocompact achieves more than €69.4 million in turnover and employs 280 people in 35 countries. The Thermocompact group is one of the world’s leading specialists in high-tech wires (particularly for electrospark machining) and coating precious metal surfaces using electrolytic processes.

The acquisition was completed on Friday 22 September 2017.

Edify, whose portfolio comprises majority and minority interests in French, Spanish and Swiss industrial SMEs intends to support the Thermocompact group in its existing activities and give it the resources to position itself in new markets.

Parties involved in the transaction:

Emmanuel Faury and Jean-Thomas Heintz, partners at CMS Bureau Francis Lefebvre Lyon, advised Edify on tax and M&A aspects. They were assisted by Julie Ducerf (tax), Julie Chatelain (corporate) and Charline Rochon (corporate), associates.

The sellers were advised by Lamartine Conseil on legal, tax and labour law aspects, with Stéphane Rodriguez and Victoire Bertin.

Gilles Mollard (Managing Director of Thermocompact) was advised by Cohen Amir-Aslani on legal aspects, with Gérard Cohen and Violaine Schmidt.
