CMS Bureau Francis Lefebvre Lyon and Fidal assist Téreva with the acquisition of Anjac CSI

CMS Bureau Francis Lefebvre Lyon and Fidal are assisting Téreva with its acquisition of Anjac CSI to create one of the leading French B-to-B plumbing-sanitation-heating distributors.

Following the decision by the Autorité de la Concurrence (French Competition Authority) to authorise the concentration, the agreement signed at the end of July and announced at the beginning of September completes the gradual acquisition of the Anjac CSI Group (Anjac CSI, Bernard & Louvet, Sonac, Buron Distribution, Thermic Charpentier, Laubion Métallurgie de l’Oise, and VMS Informatique – Mabille Frères et Cie) by Téréva, a subsidiary of the Martin Belaysoud Group (2014 Turnover: €476M - Téréva, Mabéo Industries, Fluides Service Distribution, Fluide Service Technologies, Dorise, and Crossroad Aciers).

It also created one of the top French wholesale distributors of plumbing-sanitation-heating equipment, with pro forma 2015 turnover of €650M, and a network of 150 offices, employing 1,700 people.

The Anjac Group (2014 Turnover: €300M), which will remain the majority shareholder and operator of AnJAC CSI until the beginning of 2018 or 2019, is now refocusing on its "Health and Beauty" business (cosmetics and medication production). "This transaction, which is highly complementary on a regional level, is part of a national business plan, and will help ensure the continuity and development of the Anjac CSI centre within a family-owned independent group", said Aurélien Chauffour, President of Anjac.

The Martin Belaysoud Expansion Group is consolidating its wholesale distribution position, which was already strengthened by the acquisition of Dorise through its subsidiary, Mabéo Industries, an acquisition that took effect on 1 January 2015. Dorise has turnover of 24 million euros with 9 offices and 117 employees.

"This acquisition is part of the development plan for the Group, which has just consolidated its organic growth, and is making massive investments in e-commerce now and in the future. As a result, we are forecasting turnover of approximately €1B by 2020", declared Patrick Martin, President of the Martin Belaysoud Expansion Group.

  • Téréva by CMS Bureau Francis Lefebvre Lyon (Corporate: Charles-Yves Rivière and Laurine Lavergne – Tax: Valéry Brisson and July Bailly) and Fidal (Competition: Olivier Leroy, Laurent François-Martin, and Antoine Aubert)
  • Anjac, by Pascal Jardin (Corporate) and Vivien & Associés (Competition: Muriel Perrier).
