CMS Bureau Francis Lefebvre advised the shareholders and directors of the Dominique Dutscher group in relation to the acquisition of a stake in the group by investment fund Five Arrows Principal Investments.
With nearly 111 million euros in turnover in 2013, the Dominique Dutscher group is the leading French distributor to biotechnology laboratories on the consumables and small equipment market.
Five Arrows Principal Investments, managed by the Rothschild group, is a specialist in private equity transactions targeting medium-sized European companies.
The CMS Bureau Francis Lefebvre team comprised Arnaud Hugot (partner), Martine Audran, Virginie Corbet and Solenne Gilles for Corporate/M&A aspects, Arnaud Gérardin (partner) and Frédéric Richert for tax aspects, Mélanie Comert for competition law aspects and Anne-Laure Villedieu (partner) for intellectual property aspects.
Financial advice on the transaction was provided by Baycap, with Christian Prévot and Philippe Guez.
Five Arrows Principal Investments, meanwhile, was advised by De Pardieu Brocas Maffei, with Jean-François Pourdieu (partner), Sandra Benhaim and Matthieu Candia and Jessica Derocque (Corporate/M&A, banking), Laure Givry (partner) and Alexandre Eberhardt-Le Prevost (competition law) and Joëlle Muchada (labour law).
The banks Crédit Lyonnais, CIC Est and BNP Paribas were advised by the firm Reed Smith with Alexandre Tron (partner), Maëliss Bourbon and Aurélien Jugand.
