Sale of the Bricostore Group's Romanian companies | CMS Bureau Francis Lefebvre advised Bricostore

CMS Bureau Francis Lefebvre acted as advisor to Bricostore as part of the sale to the Kingfisher Group of 100% of the share capital of the Bricostore Group's Romanian companies

CMS Bureau Francis Lefebvre advised Bricostore for the sale to Kingfisher Group Ltd of 100% of the share capital and voting rights of the Bricostore Group's Romanian companies: Bricostore Romania, Brico Foncier, Sorod, Brico Imobiliare Calarasi and Brico Development. This transaction should be completed in the second quarter 2013, subject to meeting the conditions precedent.

The transferred companies, which operate 15 stores under the Bricostore name in Romania, are one of the main players in the Romanian retail trade specialised in DIY. In 2012, these stores achieved turnover of €131 million and €5 million profit.

The Kingfisher Group, the European leader in retail trade specialised in DIY, is planning to convert the 15 Romanian stores under the Bricostore name into the Brico Dépôt model already set up by the British group in France and in Spain.

For this transaction, Bricostore was advised on the legal level by CMS Bureau Francis Lefebvre with Bruno Peillon, Jean-Robert Bousquet, partners, Alexandre Morel and Solenne Gilles on the corporate aspects and with Pierre Dedieu, partner, and Clément Rozant on the tax aspects.

The purchaser, Kingfisher Group Ltd, received legal advice from Freshfields Bruckhaus Deringer with Alan Mason, partner, Sibylle Renard-Payen and Anaïs Vidal.
