CMS alongside Gleason Corporation in the acquisition of 100% of Fubri Srl

Milan, 22 May 2025 - CMS assisted Gleason Corporation, a leading American multinational company in the gear manufacturing solutions sector, in the acquisition of Fubri S.r.l., a historic Italian company, based in Viganò, specialising in the production of precision components.

The transaction involved the contribution of Fubri S.r.l.'s business into a newly established NewCo, which was subsequently acquired by Gleason Corporation. The acquisition represents an important strategic step for Gleason, strengthening its presence in the European market and expanding the range of solutions offered to its customers.

The NewCo changed its name to Gleason Cutting Tools S.r.l.

CMS advised Gleason Corporation with a team led by Partner Massimo Trentino and composed of Counsel Giulio Poggioli, Senior Associate Valerio Giuseppe Daniele and Junior Associate Francesco Montagnese, coordinated by Thomas Montgomery, General Counsel of Gleason Corporation.

The seller, Fubri S.r.l., was instead assisted by Studio Legale Associato Marro Mancini, with a team led by Partner Avv. Luciano Marro and Senior Associate Avv. Vanessa Poeta for Corporate & M&A aspects.
