Setting up and restructuring banking and financial institutions

Despite the country’s two square kilometres, Monaco is a dynamic international financial hub with more than 90 banks and financial institutions that are licensed to operate in the Principality.

Monaco’s steady growth and development favours the welcoming of newcomers, while the competitive nature of the local market causes certain existing firms to restructure their activities.

Our expertise in this area covers the following:

  • Advising on mergers & acquisitions and restructuring of financial institutions (including key stages in each process)
  • Drafting the necessary contractual and employment documentation
  • Identifying regulatory issues and advising clients on communicating with local regulators
  • Advising on and undertaking all aspects of administrative formalities
  • Advising on the implications of acquiring and/or restructuring financial institutions (e.g. analysis of effect on existing contracts, informing local non-financial regulators, etc.)

We work closely with our firm’s other departments (e.g. Business Law tam, Real Estate team) to cover all legal aspects of setting up, acquiring, disposing and restructuring banks and financial institutions in Monaco.
