The principal areas of our equity capital markets practice are advising on IPO's and secondary offerings of equity and debt securities on Euronext Amsterdam and other exchanges. We have vast experience on public bids and other types of public company takeovers, mergers, acquisitions and reconstructions.

CMS advises management of public companies on all relevant corporate and securities law matters, including periodic reporting requirements, corporate governance, anti-takeover measures, insider trading and market abuse and executive and equity compensation issues. We assist with the structuring, formation, fundraising, operation and investment activities of a broad range of both listed and non-listed funds across multiple industries. 

To succeed, it is critical to find ways of meeting the stringent requirements of a capital markets transaction and not simply come up with the most convincing reasons why they cannot be met. CMS focuses on the issues rather than on legal niceties. We aim to identify the key issues as early as possible. Our approach is to assist in the commercial resolution of these issues and only then spend time on drafting. CMS represents listed companies and companies seeking a listing of securities. But also investment banks, brokers, underwriters, financial advisers and other financial institutions. And we provide private equity funds, real estate funds and hedge funds with advice and assistance. In the Netherlands and, through CMS, in other jurisdictions in Europe and elsewhere.
