CMS advises Bankruptcy Receivers of DSB Group on the Sale of Football Club AZ

02/06/2010

CMS Derks Star Busmann has advised the bankruptcy receivers of DSB Beheer B.V on the sale of the shares in A.Z. N.V. ("AZ"), by DS Sport B.V. to Stichting AZ Alkmaar.

AZ is better known by the name of AZ Alkmaar, the Dutch premier league (Eredivisie) football club and winner of the 2009 championship.

Besides the sale and transfer of shares, the transaction comprised a restructuring of the debt owed by AZ to DS Sport and the sale of the Alkmaar football stadium leased by AZ for a purchase price of € 15 million.

DS Sport B.V. is part of the DSB group of companies. DSB Beheer B.V. and DSB Bank N.V. were declared bankrupt in autumn 2009. Stichting AZ Alkmaar (a foundation) is backed by a group of investors from the Alkmaar region, with affinity for AZ.

Roman Tarlavski (corporate) and Marcel Groenewegen (insolvency) led the CMS team, which further comprised Christian Delgado, Jan Willem Huizink, Jacqueline Feld (all corporate), David Bos (insolvency), Menno Briët (employment), Cars-Jan van Gool, Wubbo Velvis, Roland Bos en Femke Stroucken (all notaries / deputy notaries).

The bankruptcy receivers were further assisted by PricewaterhouseCoopers Corporate Finance and Jones Lange Lasalle.
