Sheerley Cárdenas is a Senior Associate in CMS Grau’s Corporate / M&A and Banking & Finance practices. She has over ten years of experience in mergers and acquisitions, corporate finance, project finance, capital markets and corporate reorganisations.

Her practice encompasses the structuring and execution of local and international transactions, advising companies, financial institutions, investors, developers and sponsors. She has participated in M&A transactions involving private and public companies, private equity transactions, syndicated financings and club deals, as well as bond issuances and financing for infrastructure projects. Her key experience includes financing transactions of up to USD 120 million, acquisitions exceeding USD 300 million and capital markets debt issuances of up to USD 350 million.

Prior to joining CMS Grau, Sheerley developed part of her career at local law firms, where she advised national and international clients on highly complex corporate and financial transactions. Her experience includes transactions in the mining, energy, infrastructure, financial and agribusiness sectors.

Sheerley holds a Law degree from Pontificia Universidad Católica del Perú and an LL.M. in International Business and Economic Law from Georgetown University Law Center, where she was recognised on the Dean’s List and received the academic distinction of “Distinction”. She also holds a specialisation in Financial Law from Universidad ESAN Graduate School of Business.

  • Newmont Corporation | Advised on the acquisition of a 43.65% stake in Minera Yanacocha held by Compañía de Minas Buenaventura S.A.A. for USD 300 million, plus contingent payments of up to USD 100 million.
  • Grupo Energía Bogotá S.A. | Advised on the acquisition of 100% of the shares in Electro Dunas S.A.A.
  • Anglo Quellaveco Limited and Anglo American Quellaveco S.A. | Advised on a capital increase through new contributions from its shareholder MCQ Copper Ltd. of up to USD 851 million.
  • Banco Santander Perú S.A. and a syndicate of banks | Advised on the provision of financing of up to USD 120 million to Compañía Minera Lincuna S.A. and Norcobre S.A.C.
  • Bank of America, N.A. | Advised on the provision of a credit facility of up to USD 50 million to Banco Internacional del Perú S.A.A. (Interbank).
  • Citigroup Global Markets Inc., HSBC Securities Inc., Itaú BBA USA Securities Inc., J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated | Advised on the issuance of USD 350 million senior unsecured notes, bearing a 9.70% coupon and maturing in 2023. The transaction received the “Andes – Corporate Bond Deal of the Year” award from GFC Media Group.
  • Voya Retirement Insurance and Annuity Company, Security Life of Denver Insurance Company and other investors | Advised on the issuance of up to USD 317 million in bonds by Atlantica Yield.
  • Banco de Crédito del Perú and Banco BBVA Perú | Advised on a USD 40 million club deal financing for the benefit of agrochemical companies Silvestre Perú S.A.C. and Neoagrum S.A.C.
  • SNF Perú S.A.C. (the Peruvian subsidiary of SNF Group) | Advised on the merger by absorption carried out by SNF Perú S.A.C., as the absorbing company, and Especialidades Técnicas S.A.C.
  • Integra Tech International Inc. | Advised on the acquisition of a 99.3% stake in Telefónica del Perú S.A.A. (now Integratel Perú S.A.A.).
  • J.P. Morgan Chase Bank N.A. and BBVA New York Branch | Advised on two syndicated financings totalling USD 325 million granted to Sura Asset Management S.A., with corporate guarantees provided by Sura Asset Management Peru S.A. and other regional subsidiaries.
