CMS advises Cinven & Partner in Pet Food on its latest acquisition in Poland

International law firm CMS has advised Kalisz Pet Food sp. z o.o. - a company from Partner in Pet Food Group (PPF), controlled by Cinven Capital Management (VI) General Partner Limited - on the acquisition of a pet food business in Poland. The transaction was completed on 1st April 2022 and included the acquisition of the business enterprises of G-Mart and Zakład Przetwórstwa Rolniczego together with the acquisition of certain real estates.
 
The acquired business was established in 2004 in Kalisz (Poland) and has a long history of producing high quality dog and cat food for Polish and international customers - including supermarkets and specialty pet food retailers.
 
PPF, which has been a portfolio group of Cinven Capital Management (VI) General Partner Limited since 2018, is a leading producer of pet food in Europe. PPF’s products are available both under proprietary brands and private labels.
 
The CMS M&A Team was led by Graham Conlon (Head of Private Equity in CEE/CIS), and Mateusz Stępień (partner), supported by Antoni Wandzilak (senior associate) and Jakub Rykowski (Lawyer). Anna Wiśniewska (counsel) and Mateusz Rojek (associate) advised on real estate aspects.

This latest transaction follows in quick succession to PPF’s acquisition of Mispol S.A., completed in January 2022, where CMS also acted as legal advisor to PPF.
