Mateusz Stępień, advocate, is a Partner in the Corporate / M&A Department at CMS.

He focuses on M&A, corporate and commercial work, with a particular focus on private equity transactions, healthcare, financial services, FMCG and infrastructure sectors.

Mateusz has advised private equity houses, infrastructure funds and corporates on a number of investments, exits, joint ventures and mergers. He has also gained extensive experience in corporate governance and real estate issues.

Prior to joining CMS, he worked for 12 years with Clifford Chance.

  • Ringier Axel Springer Media AG on the acquisition of shares of Gratka.pl, and the announcement of a tender offer for 100% of the shares of MZN Property S.A.
  • Australian investors Macquarie Infrastructure and Real Assets (MIRA), Statewide, Motor Trades Association of Australia and Australian Super, on their exit from DCT Gdańsk S.A., a company managing the Deepwater Container Terminal in the seaport in Gdańsk, one of the largest infrastructure investments in Poland, the largest and fastest-growing Polish container terminal and the only deep-water terminal in the Baltic Sea region at which ships from the Far East call directly. DCT Gdańsk was acquired by PSA International Ptd Ltd (PSA), the Polish Development Fund (PFR) and the IFM Global Infrastructure Fund (GIF). 
  • Ringier Axel Springer on the sale of Onet Data Center to Netia, a company controlled by the Cyfrowy Polsat Group (CPS). 
  • Warburg Pincus on the sale of a majority stake in INEA, the fibre-to-the-home (FTTH) and cable operator in Western Poland, to Macquarie European Infrastructure Fund 5 (MEIF5).
  • Waterland on the sale of the L’biotica cosmetics company.
  • Zendesk, a Californian IT company seated in San Francisco, on the signing of the transaction documentation for the purchase of Future Simple, Inc., the company that developed Base, which was to a large extent created by programmers employed in Poland.
  • a fund managed by CBRE Global Investors on the sale of companies (under a share deal) that are the owners of Trinity Office Park II and Prosta Office Centre office buildings.
  • ING Bank on its minority investment in fintech start-up Twisto, a Prague-based provider of short-term financing.
  • IK Investment Partners on the sale of the Axtone Group (a leading supplier of impact energy absorption technology for all types of rail vehicles and springs used in industries other than the railway industry) to the U.S. ITT Corporation.
  • Waterland on the acquisition of L'biotica, a leading cosmetics and dietary supplements distributor in northern Poland.
  • Empik Media & Fashion group on the sale of shares in the Smyk Group companies to the global private equity fund, Bridgepoint.
