Mateusz Stępień, advocate, is a Partner in the Corporate / M&A Department at CMS.

He focuses on M&A, corporate and commercial work, with a particular focus on private equity transactions, healthcare, financial services, FMCG and infrastructure sectors.

Mateusz has advised private equity houses, infrastructure funds and corporates on a number of investments, exits, joint ventures and mergers. He has also gained extensive experience in corporate governance and real estate issues.

Recent edition of international directory of law firms Legal 500 recommends Mateusz as an expert in the field of Corporate/M&A and private equity.

Prior to joining CMS, he has worked for 12 years with Clifford Chance.

  • The shareholders of the leading CEE online travel agent Interactive Travel Holdings sp. z o.o. (ITH), the owner of, inter alia, Fru.pl and Vola.ro, an online flight search websites, and 3TS Capital Partners in connection with the sale of the majority stake in ITH to a private equity fund Resource Partners.
  • European Bank for Reconstruction and Development (EBRD) on its minority equity investment in a Polish VeloBank.
  • NextEnergy on the acquisition of PV farms at different stages of development from Projekt Solartechnik Fund Fundusz Inwestycyjny Zamknięty.
  •  Krafton Limited on investment in a minority stake in a Polish independent game studio Far From Home.
  • Syntaxis Capital and its portfolio company Syntaxis New Europe Investments on the minority acquisition of the shares in Bracia Sadownicy Sp. z o.o., family company producing juices, and mezzanine financing for the purposes of acquisition of a Poland-based juice producer - Victoria Cymes.
  • R-GOL, a leading distributor of specialized equipment for football enthusiasts, professionals and football clubs in Central and Eastern Europe, and its owners on the sale of the majority stake to Innova Capital.
  • Prime Label Group, the Polish labels and flexible packaging firm controlled by Innova Capital, on the acquisition of a 100% stake in domestic printing company Drukarnia PEGWAN Sp. z o.o.
  • Syntaxis Capital on the acquisition of the shares in IBC Service, the largest operator in service, recycling and of IBC containers in Poland.
  • Syntaxis Capital on the acquisition of the minority stake in the company Ecommerce Mastery sp. z o.o., a company offering services in the field of running online stores, from its current shareholders.
  • Abris Capital Partners on the acquisition of the controlling stake of the shares in Orbitvu sp. z o.o., a Polish maker of automated product photography solutions for the e-commerce business, from its founders and a Polish VC fund Capital Partners.
  • Sonnedix, the global solar independent power producer (IPP) on the acquisition of 100% of the shares in the company Sun Power Energy, a solar PV developer in Poland. In addition to the acquisition of the development company, the transaction included the purchase of a significant portfolio of photovoltaic projects of a total capacity of close to 1 GW.
  • RECARO Aircraft Seating GmbH & Co., the Stuttgart-based global seating company, on the acquisition of the majority stake of the shares in Grodziska Fabryka Wyposażenia Wagonów Growag sp z o o., a leading company in train seating, based in Poland. 
  • Nofar Energy, an Israeli renewable energy company, on the acquisition of a portfolio of 14 185MW photovoltaic (PV) projects in Poland from Polish firm Paged Real Estate.
  • ING Bank Śląski on its minority investment in fintech start-up Twisto, a Prague based provider of short-term financing and on the subsequent sale of this minority stake to the Australian listed company ZIP Co Limited.
  • Partner in Pet Food (PPF), a company controlled by Cinven, on the acquisition of G-Mart and Zakład Przetwórstwa Rolniczego, Grzegorz Werbliński’s pet food business in Poland.
  • Neuca S.A., a WSE-listed leading wholesaler of medicines in Poland, on the acquisition of the majority stake of shares in Pomerania Investment S.A., the sole owner of the only Polish insurance company specialising in health insurance programmes, TU Zdrowie S.A.
  • GrECo International Holding AG, the specialist Austrian broker, on the acquisition of 100% of MAI CEE Ltd., a risk, insurance and employee benefits consultant operating in 13 countries, mainly in the Baltics, CEE and Russia, from Oman-based Risk Management Services LLC.
  • Polish private equity fund Innova Capital and its portfolio company Prime Label, offering a wide range of flexo printing services for the beverage and food industry, on the acquisition of a company Label Print in Estonia.
  • Star Global Consulting on the acquisition of shares in Pro4People, a developer specializing in MedTech solutions, from Pro4People’s founders.
  • Leading European pet food manufacturer Partner in Pet Food, a portfolio company of the major private equity house Cinven, on the acquisition of 100% of shares in Mispol S.A., a Polish pet food producer, from NDX Group, a Lithuanian company investing in Central and Eastern Europe.
  • Norwegian energy company Equinor on the approx. EUR 100m acquisition of 100% of shares in Polish onshore renewables developer Wento, and its 1.6-GW solar project pipeline from the private equity fund Enterprise Investors.
