CMS advises Cinven portfolio company on acquisition in Poland”

CMS has advised Partner in Pet Food (PPF), a portfolio company of international private equity firm Cinven, on its acquisition of Mispol S.A., a Polish pet food producer. This week PPF announced that it has reached an agreement with NDX, a Lithuanian company investing in Central and Eastern Europe, to buy Mispol S.A. The transaction is expected to be completed in the coming months, subject to customary regulatory approvals.

PPF, which has been a portfolio company of the Sixth Cinven Fund since 2018, is a leading producer of pet food in Europe, and PPF’s products are available both under proprietary brands and private labels. The acquisition of Mispol S.A. will be yet another acquisition recently completed by PPF. In September 2020, PPF invested in Doggy, a leading Swedish pet food manufacturer, and in January 2021 acquired Landini Giuntini in the Italian market. 

The work of the CMS team, headed by Mateusz Stępień, partner in the Warsaw office’s Corporate/M&A practice, included providing comprehensive transaction advice to PPF as the buyer, as well as support in competition law, intellectual property, labour law, and environmental matters. 

The transaction team includes senior associate Antoni Wandzilak and Joanna Białoskórska, as well as Magdalena Mentrak, Jakub Rykowski, Mateusz Mazur, lawyers from the transaction department. Labour law expertise is being provided by Maciej Andrzejewski, senior associate, supported by Aleksandra Nowakowska-Raszka and Damian Święcioch. Aleksandra Kuźnicka-Cholewa, senior associate, and Anna Szczygieł, lawyers from the IP law team, are responsible for intellectual property matters. On the real estate side, the team is supported by Mirosław Sadowski, associate, and in environmental matters - by Wojciech Szopiński, senior associate. 

Małgorzata Urbańska, partner in the competition law team, and Krzysztof Sikora, senior associate, are advising on the competition law aspects of the transaction. The team also includes Graham Conlon, head of the team specialising in assisting private equity clients in Central and Eastern Europe, who advised Cinven on the acquisition of Partner in Pet Food back in 2018.
