CMS advises on acquisition of insurance company in Poland

International law firm CMS has advised Neuca S.A., a listed company operating on the pharmaceutical wholesale market in Poland, on the acquisition of a majority stake in Pomerania Investment S.A., the sole shareholder of Towarzystwo Ubezpieczeń Zdrowie S.A. – a Polish insurance company specialising in health insurance. The investment in Towarzystwo Ubezpieczeń Zdrowie S.A. is part of the implementation of Neuca S.A.’s long-term growth strategy in the patient area.

The CMS team advising on the transaction was co-ordinated by CMS partner Mateusz Stępień. Mateusz advised on transactional and corporate matters with the support of Antoni Wandzilak (senior associate) and Natalia Szurnicka (lawyer).   

Regulatory advice, including obtaining clearance for the transaction from the Financial Supervision Authority, was provided by Ewa Świderska (counsel and Head of Insurance at CMS Poland) and Sylwia Raszplewicz-Czyżewska (associate).
