CMS advises on sale of IT company in Poland

The CMS transaction team advised Bonair, a Polish company with almost 30 years’ experience in the digital transformation of enterprises, on its sale to the Dutch group - Fellowmind, owned by FSN Capital, a Swedish private equity fund.

Bonair, which has operated since 1991, is a leader on the Polish market of implementing specialised Microsoft business solutions, in particular class CRM, ERP and BI systems. Bonair’s joining the group and the expansion into the Polish market will impact on the firm’s role within Microsoft itself, making Poland a strategic partner in CEE. 

 “The IT and new technologies sector is demonstrating that it has huge potential in the Polish market, and the business success of Polish players is increasingly attracting the attention of both foreign industry investors and - as in this case - international funds”, comments Błażej Zagórski, Corporate partner at CMS Poland. “This transaction is also an excellent example that, after a period of suspense in which we have been waiting to see how the market reacts to the COVID-19 pandemic, we are now experiencing an increase in activity in the M&A market. This particularly applies to sectors that have experienced less turmoil as a result of the pandemic”. 

CMS’s work included comprehensive transactional advice on the sale of Bonair, advice on the acquisition of shares in the Fellowmind group by Bonair’s directors, as well as corporate, tax and employment advice.

The CMS team was led by Błażej Zagórski, partner and legal counsel, and supported by Grzegorz Pączek, senior associate and advocate, who was responsible for the day-to-day co-ordination of CMS’s work. The team also included Piotr Nowicki, senior associate and advocate, who was responsible for tax advice, as well as Joanna Białoskórska and Jakub Rykowski, transaction lawyers from the CMS Warsaw team. Tomasz Sancewicz, counsel, and Aleksandra Nowakowska, lawyer, from the Employment team advised on aspects of employment law.

The law firm Hansen advised on aspects of Swedish law.
