Antoni Wandzilak is an advocate and counsel in the Corporate/M&A Department at CMS.  

Antoni specialises in M&A transactions and corporate restructuring. He provides advisory services to both private equity funds and corporate clients operating in various sectors, particularly logistics, healthcare and FMCG.

Apart from transactional advisory services, Antoni also specialises in intra-group restructuring and advisory services for clients related to their day-to-day activity.

Before joining CMS, he worked for over six years at Clifford Chance.

  • Syntaxis Capital and its portfolio company Syntaxis New Europe Investments on the minority acquisition of the shares in Bracia Sadownicy Sp. z o.o., family company producing juices, and mezzanine financing for the purposes of acquisition of a Poland-based juice producer - Victoria Cymes.
  • R-GOL, a leading distributor of specialized equipment for football enthusiasts, professionals and football clubs in Central and Eastern Europe, and its owners on the sale of the majority stake to Innova Capital.
  • PartyDeco and its owners, a Polish designer and manufacturer of high-quality ornaments and occasional collections and it has a leading position in the B2B e-commerce segment in Western Europe, on the sale of the majority stake of the shares in PartyDeco to the RiO fund owned by Rafał Brzoska and Omena Mensah. 
  • Syntaxis Capital on the acquisition of the shares in IBC Service, the largest operator in service, recycling and of IBC containers in Poland.
  • Syntaxis Capital on the acquisition of the minority stake in the company Ecommerce Mastery sp. z o.o., a company offering services in the field of running online stores, from its current shareholders.
  • Abris Capital Partners on the acquisition of the controlling stake of the shares in Orbitvu sp. z o.o., a Polish maker of automated product photography solutions for the e-commerce business, from its founders and a Polish VC fund Capital Partners.
  • Medicover on the acquisition of 100% of the shares in Ostoya Holding sp. z o.o., Propsyche Allenort sp. z o.o. and Psychiatria Allenort Białystok sp. z o.o., operating a psychiatric hospital and therapy clinics under the brands: "Allenort", "ProPsyche" and "Psychomedica".
  • ING Bank Śląski on the sale of the minority stake in fintech start-up Twisto, a Prague based provider of short-term financing, to the Australian listed company ZIP Co Limited.
  • Partner in Pet Food (PPF), a company controlled by Cinven, on the acquisition of G-Mart and Zakład Przetwórstwa Rolniczego, Grzegorz Werbliński’s pet food business in Poland.
  • Neuca S.A., a WSE-listed leading wholesaler of medicines in Poland, on the acquisition of the majority stake of shares in Pomerania Investment S.A., the sole owner of the only Polish insurance company specialising in health insurance programmes, TU Zdrowie S.A.
  • GrECo International Holding AG, the specialist Austrian broker, on the acquisition of 100% of MAI CEE Ltd., a risk, insurance and employee benefits consultant operating in 13 countries, mainly in the Baltics, CEE and Russia, from Oman-based Risk Management Services LLC.
  • Leading European pet food manufacturer Partner in Pet Food, a portfolio company of the major private equity house Cinven, on the acquisition of 100% of shares in Mispol S.A., a Polish pet food producer, from NDX Group, a Lithuanian company investing in Central and Eastern Europe.
  • InPost, a leading e-commerce enablement platform, and its majority shareholder private equity fund Advent International, on InPost’s listing on the Euronext Amsterdam Stock Exchange - this is one of the largest IPOs to date of a business group from Poland (IPO’s value: EUR 3.2 bn), and the first IPO of a Polish company on Euronext Amsterdam.
