Karolina Kosińska is an associate in the Corporate / M&A practice at the Warsaw office of CMS.

Karolina specialises in comprehensive legal services related to M&A transactions at every stage: conducting and coordination of due diligence processes, preparing and negotiating of transaction documentation, overseeing transaction closing, as well as providing post-closing support. Karolina also advises on restructurings and offers ongoing legal advice on corporate issues to Polish and foreign companies.

Relevant experience

  • Prime Label Group, a leading label manufacturer in CEE controlled by Innova Capital, on its acquisition of Arti-Bau, a dynamic digital label printing company.
  • IAI Group on the sale of 100% of shares in the company, being a leading SaaS-based e-commerce enablement platform in CEE, by MCI Capital to Montagu Private Equity, a top-tier international private equity fund.
  • CEZ A.S. on the sale of its Polish coal assets to ResInvest Group.
  • Star Pedal on the acquisition of 100% of the shares in Nextbike Polska S.A., a Poland-based provider and operator of city bike systems.
  • Axpo Polska sp. z o.o. on the acquisition of a biogas plant in Stare Ślepce, Western Pomerania, from private shareholders.
  • The shareholders of the leading CEE online travel agent Interactive Travel Holdings sp. z o.o. (ITH), the owner of, inter alia, Fru.pl and Vola.ro, an online flight search website, and 3TS Capital Partners in connection with the sale of the majority stake in ITH to a private equity fund Resource Partners.
  • B3 Consulting Group, the Swedish tech consultant, on the acquisition of an additional 40% of its associated company B3 Consulting Poland.
  • Krafton Inc. on investment in a minority stake in a Polish independent game studio Far From Home.
  • A SINO-CEEF group company on the acquisition from Alternus Energy Group of 25 operational photovoltaic power plants with a total capacity of 88.4 MW, including one of the largest photovoltaic power plants in Poland, located in the Witnica municipality with a capacity of 64.6 MW.
  • Passus S.A. (the company is listed on the alternative market) on the initial public offering and introduction of its shares to trading on the main market of the Warsaw Stock Exchange.
