CMS advises TRUMPF on the acquisition of 80 per cent of the Cutlite Penta business from the El.En. Group

Stuttgart – TRUMPF International Beteiligungs-SE has reached an agreement to acquire 80 per cent of the business of Cutlite Penta S.p.A. from the Italian El.En. Group. As part of the transaction, Cutlite Penta S.p.A.'s laser cutting machine business will first be hived off into a newly established company, in which TRUMPF will subsequently acquire an 80 per cent interest. Interests in other Italian companies, as well as in a Brazilian company, will also be transferred to the new company. 

Under the leadership of Dr Heiko Wiechers and Mauro Battistella from Battistella Partners, Italy, CMS provided comprehensive advice to the TRUMPF Group on the structuring and execution of the transaction. The cross-border CMS team, comprising members from Germany, Italy, Brazil, Poland, Spain, China and the USA, also provided support with corporate structuring, due diligence, contractual documentation and the negotiation of the transaction documents. 

Cutlite Penta, based in Prato, Italy, develops and manufactures high-performance laser cutting systems for industrial applications. 

The El.En. Group is an Italian group listed on Euronext STAR Milan and is one of the leading providers of laser-based technologies for industrial and medical applications.
