CMS advises MND Group company Horyzonty on acquisition of Ukrainian Independent Geological Company
CMS advised Horyzonty LLC (Horyzonty), a member of the MND Group, in relation to the acquisition of Ukrainian Independent Geological Company LLC, a company operating in the upstream oil and gas sector based in western Ukraine.
MND Group has been actively developing exploration and production activities in Ukraine since 2014, with a primary focus on natural gas.
CMS advised Horyzonty on the corporate and regulatory structuring of the acquisition. The CMS team drafted and negotiated the transaction documents, coordinated the closing process, secured the required competition clearance, and supported selected post-closing matters.
Vitaliy Radchenko, Managing Partner and Head of Energy & Climate Change at CMS Ukraine, comments: “We were delighted to support Horyzonty on this acquisition. During the war, transactions of this kind in Ukraine’s oil and gas sector are extremely rare and unique — primarily because Ukraine is perceived by Western investors through the prism of the current war-related risks. At the same time, we are very pleased to see that the European energy group MND has confidence not only in the Ukrainian market, but also in Ukraine’s victory in the war with Russia. MND is not only investing and creating jobs in Ukraine, but is also contributing to strengthening our country’s energy independence. We hope that MND’s willingness to invest in Ukraine will serve as an important and meaningful signal for other European and global energy investors.”
The CMS team was led by Vitaliy Radchenko and included Maryna Ilchuk and Maksym Zhurakovskyi (EPC); Mariana Saienko, Artem Sinelnikov, Marta Chernychka, and Dariia Yerokhina (Corporate); and Olga Belyakova, Mykola Heletiy and Oleksandr Sytnyk (Commercial).
