Ayavuya is an Associate at CMS South Africa. 

He obtained his BCom Law degree from the University of Johannesburg in 2015 and also obtained his LLB from the same institution in 2020.

Ayavuya has experience in commercial and corporate matters encompassing mergers and acquisitions, regulatory advice and general corporate related work focusing particularly on consumer protection, information technology, telecommunications and private equity transactions.

His expertise extends to advising clients on compliance with the Companies Act, JSE Listings Requirements, various telecommunications legislation in South Africa, conducting legal due diligence investigations, regulatory opinions and drafting various commercial and corporate documents and transaction agreements. 

During his tenure at CMS, Ayavuya has been a team member in highly publicised transactions in South Africa involving both local and multinational clients across multiple jurisdictions. He has been published in various publications and formed part of two deal teams nominated by DealMakers SA in 2024.

  • African Parks Network NPC – on a transaction relating to the acquisition and subsequent rewilding of 2000 rhinos across the African continent.
  • A financial services company – on a cross-border transaction relating to the disposal of the client’s insurance business in Mozambique to Hollard Group.
  • Dubai-based property management group – on several loan transactions with a South African property investment entity.
  • An American multinational mass media and entertainment conglomerate – in connection with a consolidated feasibility report regarding the client’s intention to extend the roll-out of their mobile and web application offering in various African jurisdictions.
  • An authorised financial services provider – on a ZAR700m transaction relating to the acquisition of a large legal insurance consortium.
  • PPF, A.S. and Vox Ventures B.V. – with a ZAR900m transaction relating to the acquisition of a multinational manufacturing entity in the marine sector. 
  • Development Finance Institution – assisted with the enforcement of a Notarial General Covering Bond registered under the borrower.
  • Development Finance Institution – assisted with the preparation of corporate governance documents relating to an equity loan transaction. 
  • An American telecommunications company – assisted with the provision of legal advice in connection with the regulatory regime in South Africa applicable to mobile satellite system networks and spectrum access.

  • An American multinational mass media and entertainment conglomerate – in connection with a consolidated feasibility report regarding the client’s intention to extend the roll-out of their mobile and web application offering in various African jurisdictions.
  • Multinational Satellite Service Provider – assisted with the provision of a regulatory risk analysis pertaining to licensing requirements under telecommunications law in South Africa. In particular, we are advised on satellite backhaul services to a local mobile network operator and three structuring options for this project.
