CMS Advises on the Merger of BECOM Electronics and IVP Group Germany

With this transaction, finalised on 27 July, the Austrian BECOM Group acquired a participation in the IVP Group Germany, continuing on the successful path of internationalisation that BECOM has been pursuing in recent years. A Vienna-based CMS team provided legal support in the course of the transaction.

A three-person CMS team headed by attorney-at-law and tax advisor Sibylle Novak, partner at CMS in Vienna, supported the client in all legal and tax-related matters of the transaction. Some of their most important tasks included advising the client on the structure of the transaction and drafting the purchase contract as well as the voting trust agreement, including numerous complex ancillary agreements. Attorney-at-law Lena Winkler, who specialises in M&A, and associate Eva-Maria Vögerl were also part of the CMS team.
