
In a cross-border conversion, internationally active Gertnergroup has converted its German subsidiary Gertner Service GmbH into an Austrian limited liability company with its registered office in Vienna. This marks one of the first conversions effected in accordance with the new EU Reorganisation Act. Gertnergroup relied on the expertise of CMS Austria in the process.

The EU Reorganisation Act, in force in Austria since 1 August 2023, creates the first uniform framework for cross-border mergers, divisions, and conversions of limited liability companies. The new law’s goals include increasing mobility within the EU so as to enable companies to better seize business opportunities.
Besides partner Sibylle Novak, the Austrian CMS team also included lawyer Thomas Aspalter. On the German side, Gertnergroup was advised by partner Richard Mitterhuber and principal counsel Petra Stoeckle (both CMS Munich).
