The transaction is particularly complex given Austrian KSR Group’s recently completed insolvency proceedings and ongoing restructuring, requiring careful coordination of M&A, restructuring, financing and insolvency elements. Euro Golf Investments Ltd.’s investment aims to build the foundation for a strong financial and strategic partnership for KSR Group’s future
CMS is advising Euro Golf Investments Ltd. in connection with the acquisition of a majority interest in KSR Group, a business specializing in the design, development, and distribution of two-wheeled vehicles and consumer goods, with subsidiaries and establishments throughout Europe and Asia, and headquartered in Austria. KSR Group has recently been subject to insolvency proceedings and restructuring efforts are partly still ongoing. The transaction agreements have been signed and the consummation of the transaction is still subject to several conditions.
The transaction combines KSR Group’s established position in the mobility market with the financial strength and entrepreneurial expertise of Euro Golf Investments Ltd. and its investors. Backed by companies active in investment, real estate, industry and mobility, Euro Golf Investments Ltd. will provide additional liquidity and support KSR Group’s future growth strategy. As part of its strategic realignment, KSR Group will sharpen its focus on its core mobility activities, particularly motorcycles, scooters, ATVs and powersports. Tomer Komrov will take over the operational management of the KSR Group as CEO and will be responsible for the company’s future strategic development.
