CMS advises AMG Critical Materials on the strategic acquisition of AURA Technologies
Frankfurt – AMG Critical Materials has completed the acquisition of AURA Technologies, thereby strengthening its position in the processing of high-purity molybdenum in a circular economy. This significant transaction marks a major milestone for AMG in expanding its critical materials platform and reinforces the company's commitment to sustainable resource management. The deal establishes the first circular molybdenum processing plant in the Western market, setting new standards for supply chain resilience.
CMS provided AMG Critical Materials with comprehensive legal due diligence and advised them on all legal and tax aspects of the transaction agreements. This included negotiating and structuring of the deal, paying particular attention to the related party transaction involving the CEO of the listed buyer group. Partner Dr Peter Polke led the CMS team, ensuring compliance and transparency throughout the process. Dr Bogislav Wilmers Rauschert, Head of Legal at AMG Technologies, oversaw the legal aspects of the transaction for the in-house team.
