CMS advises Insolvency Administrator on the sale of a Mannesmann company

Düsseldorf – South 1 EPC Engineering Gesellschaft mbH, formerly MMEC Mannesmann GmbH, has sold its subsidiary, MMEC Verwaltungs GmbH, to the Canadian PCG Inc. in the course of insolvency. The PCG Inc. (Pioneer Canada Group Inc.) is primarily active in the field of oil, gas and petrochemical as well power and mining sector projects. 

South 1 EPC Engineering Gesellschaft mbH operated in the field of refinery, pipeline, underground gas storage, petroleum coke and calcination technology before the preliminary insolvency proceedings were initiated. It owned intellectual property assets in this field, such as industrial property rights and domains, know-how and software. These intellectual property assets were contributed to MMEC Verwaltungs GmbH by South 1 EPC Engineering Gesellschaft mbH prior to the transaction. The parties have agreed not to disclose the purchase price. 

A CMS team headed by Philippe Heinzke and Katharina Franitza advised on all legal aspects of the transaction in the context of the insolvency proceedings.
