CMS advises sole shareholder in consumer goods distributor Neuseelandhaus on sale to Manuka Health New Zealand

Düsseldorf – Manuka Health New Zealand Limited has acquired 100% of the shares in Neuseelandhaus GmbH from the current sole shareholder, Reinhard Kuhfuß. The parties agreed not to disclose the purchase price.

A CMS team headed by Dr Dirk Jannott and Dr Reimund Marc von der Höh advised the sole shareholder on all legal aspects of the cross-border sale. The transaction is one of the few direct investments by a New Zealand company in Germany. The instruction sees CMS further expanding the Consumer Products & Food practice of its Düsseldorf office.

Bergkamen-based Neuseelandhaus GmbH is a specialist distributor of manuka honey, a blossom honey that bees collect from the nectar of the manuka plant in New Zealand. The distributor also markets other New Zealand products. According to the company’s own figures, it is the largest distributor of manuka products in Central Europe and has steadily increased its sales since it was established, reaching around EUR 16 million in 2018.

Manuka Health New Zealand Limited is headquartered in Te Awamutu (New Zealand). Its manuka and bee products are available in 45 countries. Manuka Health intends to leverage its acquisition of the Neuseelandhaus GmbH shares to consolidate its market position in Germany and Austria, while also creating a platform for further expansion of the business throughout the European Union. The current managing directors of Neuseelandhaus, Reinhard Kuhfuß and Oliver Rube, will remain responsible and continue to lead the team over the coming years.
