CMS advises Splendid Medien AG on delisting
Cologne, 07.11.2024 – The listed company Splendid Medien AG has entered into a delisting agreement with Andreas Klein Vermögensverwaltung GmbH. This provides for the filing of an application for delisting from the regulated market of the Frankfurt Stock Exchange. In addition, Andreas Klein Vermögensverwaltung GmbH has made a public delisting takeover offer to the shareholders of Splendid Medien AG for the acquisition of all shares not held by it. Andreas Klein Vermögensverwaltung GmbH is a wholly-owned subsidiary of Andreas Klein, a member of the Management Board of Splendid Medien AG.
A CMS team led by Dr Richard Mayer-Uellner advises Splendid Medien AG on its delisting and in connection with the delisting takeover offer to the shareholders of Splendid Medien AG. Splendid Medien AG is advised by CMS on an ongoing basis.
Splendid Medien AG is a medium-sized, integrated media group that operates primarily in German-speaking European countries and in the Benelux countries. The operating activities of the Splendid Group are divided into the Content and Services segments. The Content segment includes the license trade in film rights, film exploitation in cinemas and home entertainment, as well as film and TV production. In the Services segment, services are provided for the film and television industry, with a focus on digitization and synchronization.
