Dirk Schmidbauer advises listed and non-listed companies and their boards on corporate law, in particular on stock corporation, corporate group and capital markets law, including securities acquisition and takeover law.
Dirk has particular focuses advising on corporate governance issues, board duties, including decisions under the Business Judgement Rule, and board liability. He also supports clients on an ongoing basis in the preparation and implementation of general meetings as well as capital and structural measures. In addition, he advises on public takeovers and (delisting) acquisition offers.
Dirk also represents clients in disputes in and out of court, in particular board liability disputes, actions for avoidance and annulment as well as compensation settlement proceedings.
Dirk started his legal career at CMS in 2022.
