Hamburg – Stadtwerke Neumünster GmbH (SWN) has acquired a 35% interest in OpenNet GmbH, the German offshoot of the Danish OpenNet platform, by way of a joint venture. The other joint venture partners are Stadtwerke Geesthacht GmbH and Breitbandnetz GmbH & Co. KG, each with an interest of 7.5%, and the Danish OpenNet Holding with an interest of 50%.
A CMS team led by partners Dr Holger Kraft and Dr Sebastian Cording advised Stadtwerke Neumünster on the acquisition of its interest in OpenNet GmbH, including drafting the joint venture agreements and the provisions for the licensing and operational cooperation between OpenNet GmbH and OpenNet Holding.
As an open access platform, OpenNet connects internet service providers (ISPs) and other service providers with fibre optic networks via its own IT platform. This allows many-to-many relationships to be established between network operators and service providers – instead of requiring individual, customised models and processes. The three German shareholders will remain close cooperation partners of the platform. The contractual basis guarantees all partners – both current and future – equal access and equal rights.
