CMS advises VECTED's shareholders on Deutsche Beteiligungs AG's acquisition of a stake

Frankfurt am Main – As part of its "Long-Term Investments" strategy, Deutsche Beteiligungs AG (DBAG) is acquiring a significant minority stake in VECTED GmbH. Founder and Managing Director Wolfgang Schöberl will continue to run the company. The parties have agreed not to disclose the purchase price. Closure of the acquisition is subject to regulatory approvals.

A CMS team led by Dr Joachim Dietrich advised VECTED's existing shareholders on the bidding procedure and all legal aspects of the whole transaction. The advice covered in particular the transaction structure and documentation as well as matters relating to company law, tax law, merger control and investment control.

VECTED was founded in 2012 and develops and produces thermal imaging technology, particularly for military and dual-use applications. The portfolio includes portable thermal imaging devices as well as solutions for vehicles and drones.

DBAG has been publicly listed since 1985 and invests primarily in medium-sized companies with growth potential, mainly in the DACH region. Its "Long-Term Investments" strategy focuses on minority stakes financed using funds from the balance sheet. DBAG and VECTED intend to work together to expand production capacity, further professionalise the organisation and broaden the product portfolio.
