CMS Hasche Sigle advises Bruker Advanced Supercon on acquisition of research instruments business from ACCEL

Frankfurt/Main – Bruker Corporation, a US group specialising in the development, manufacture and marketing of scientific instruments, systems and solutions for research in the lifesciences, pharmaceutics, biotechnology and molecular diagnosis, has acquired the research instruments business of ACCEL Instruments GmbH via its subsidiary Bruker Advanced Supercon, Inc. This acquisition transforms Bruker into the global leader in superconducting devices and advanced technologies for alternative energy research and next-generation energy infrastructure.

A team from CMS Hasche Sigle, led by Dr Hendrik Hirsch, advised Bruker on all aspects of the transaction.

ACCEL’s research instruments business comprises the development, manufacture and sale of superconducting and normal conducting accelerator structures, sub-units and magnets. It also includes electromagnetic components and systems for particle accelerators and other applications. The primary focus is on the scientific arena (high-energy physics, applied research), plus the energy sector (nuclear fusion and fission) and medical technology.

Headquartered in Bergisch-Gladbach, Germany, ACCEL Instruments GmbH is a subsidiary of US company Varian Medical Systems, Inc. ACCEL was founded in 1993 as a spin-off from Siemens AG and acquired by Varian at the start of 2007. Varian is retaining its ACCEL proton therapy business.

Bruker will split the research instruments business between two companies. RI Research Instruments GmbH, which has acquired substantially all of the research instruments activities, is 45% owned by its management team. Bruker Advanced Supercon GmbH, which has acquired the magnets and accelerator business, will be a 100% subsidiary of Bruker. Financial terms of the transaction were not disclosed.
