CMS Hasche Sigle advises on conversion of Impreglon to a European stock corporation

Düsseldorf – Lüneburg-based Impreglon AG has converted to a European stock corporation (SE, Societas Europaea). The Impreglon Group specialises in coating services and has production facilities in ten countries worldwide.

A team led by Dr Dirk Jannott under the overall direction of Dr Marcel Hagemann advised the international company on all aspects of the cross-border conversion. Since registration has already been completed, the holding company of the Impreglon Group is now called Impreglon SE.

A key reason for choosing this legal form was to enable Impreglon SE to adopt the monistic management structure which is widespread around the world. The new legal form thus reflects the growing internationalisation of the Group’s activities and the special importance of the European market for Impreglon SE.

The offices of the CMS organisation in London, Paris, Warsaw, Arnheim and Budapest carried out the necessary procedure for involving employees in Germany and five other EU Member States in the conversion process. Employing 577 people worldwide, the company is expected to generate sales of some EUR 50 million in 2010.
