Marcel Hagemann advises on domestic and international M&A transactions which are often technology-related. Moreover, he advises his clients on setting up joint ventures, European Companies (Societas Europaea, SE) and complex shareholder structures. Marcel’s advice is regularly sought in the context of either avoiding corporate disputes (disputes between shareholders, post M&A disputes, D&O liabilities) or managing them.

Marcel heads the firm’s excellence cluster European Company Law and is a lecturer for the University of Münster’s postgraduate course on business law and restructuring.

Marcel joined CMS in 2004 and became a partner in 2011. In 2009, he was seconded to an international investment bank in London where he worked in the M&A advisory team.

Relevant experience

  • Advising GFKL Financial Services AG on being acquired by Permira and on financing the transaction (volume: approx. EUR 600 million)
  • Advising on a number of fintech transactions in the payment transactions sector
  • Providing ongoing advice to a leading payment services provider
  • Representing TUI AG in connection with a post M&A dispute in connection with the disposal of TUI's plant construction and shipbuilding division to Babcock Borsig (volume: approx. EUR 170 million)
  • Advising Impreglon AG on its conversion into a European company (Societas Europaea, SE)
  • Advising PCC group on the disposal of its Polish logistics division, including Poland’s largest private railway, to Deutsche Bahn group
