The MDAX-listed Techem AG, Eschborn, a leading European service company in housing and property
management concerned with the recording, distributing and billing data relating to energy and water
consumption, has acquired 100% of the shares in heimer Concept GmbH, Gütersloh, through its
wholly-owned subsidiary Techem Energy Services GmbH. Led by Frankfurt partner Dr Andreas Zanner a
team from CMS Hasche Sigle advised Techem on the transaction. The purchase price has not been
disclosed.
The directing shareholders of heimer Concept GmbH which hitherto was owner-operated have
decided to sell the business owing to the lack of successors to ensure the continuation of the
operative business. Like Techem the company is active in the sector of energy costs billing; it
generated a turnover of EUR 22.8 million and an EBIT of EUR 2.5 million in the 2004 business
year (31.12.2004). There was an annual surplus of EUR 1.7 million. In 2004 heimer Concept employed
an average 190 employees and had over 40,000 active customers. With a total stock of nearly 2.5
million meters heimer Concept has a German market share of 2.5% (Fachverband ARGE of 30.09.2004).
Techem will finance the entire purchase price with borrowed capital. heimer Concept
will be quickly integrated into the organisation of Techem AG in order to achieve an EBIT-margin of
20% within the next 12 to 18 months.
