Takeover of VTG from TUI by Compagnie Européenne de Wagons - CMS Hasche Sigle advises investor IPE-Ross

Compagnie Européenne de Wagons and TUI AG have signed an agreement relating to the acquisition of all shares in the VTG group. Compagnie Européenne de Wagons belongs to a fund administered by the investment company IPE-Ross. Details relating to the purchase price were not disclosed. The acquisition is still subject to clearance from the cartel authorities. A 10-man core team from CMS Hasche Sigle under the leadership of Stuttgart partner Dr Udo Simmat (corporate/M&A/Private Equity) advised IPE-Ross on the transaction which involved not only CMS Hasche Sigle but also all other member firms of the CMS Alliance.

By acquiring VTG, Compagnie Européenne de Wagons acquires the largest European leasing company for rail transport of liquid chemicals and mineral oils with approx. 45,000 rail tank and other rail freight cars. VTG employs approx. 500 employees and has a presence in 17 European countries. VTG had a turnover of 406.7 million euro in the 2004 business year. The acquisition of VTG is the third venture of the company into the European logistics sector.

IPE-Ross is an independent investment company. The company makes long-term investments in established and internationally active industrial and service companies in Europe. It focuses on medium-sized enterprises with a value of between 100 million and one billion euro with a strong position in the home market and promising growth prospects.
