CMS Bureau Francis Lefebvre Advises 21 Centrale Partners’ Holding Company as part of its Acquisition of a Majority Interest in Cléor
CMS Bureau Francis Lefebvre advised the holding company majority-owned by 21 Centrale Partners as part of the acquisition of Cléor’s holding company from Azulis and other shareholders.
The transaction, which closed last 2 August, is designed to support the executive team led by Gilles Bennejean and Aurélien Sénéchal in driving Cléor’s sustained growth, with the goal of strengthening its positioning as France’s benchmark jewellery retailer and to initiate the chain’s expansion in the global marketplace.
The holding company majority-owned by 21 Centrale Partners was advised on the legal issues of the transaction by CMS Bureau Francis Lefebvre, with partners Philippe Rosenpick and Isabelle Buffard-Bastide and lawyers Thomas Hains, Isabelle Prodhomme and Clarisse Thiolon advising on corporate/M&A aspects; partner Laurent Hepp and lawyers Pierre Sappey and Florian Aymard advising on tax aspects; and lawyer Grégory Benteux, head of structured debt and finance, and lawyers Magali Beraud, Héloïse Roudaut and Alexandre Bordenave advising on structured debt and finance.
